Sub:   Submission of Request and Grant of Consent

I am an Authorised Representative of Requesting Entity. Requesting Entity is the entity that is requesting its Company Credit Report (CCR) along with CIBIL Rank from TUCL.

 

I on behalf of the Requesting Entity hereby submit an application to receive the Receiving Entity’s/its’ Company Credit Report (CCR) along with CIBIL Rank offered by TransUnion CIBIL Limited (“TUCL”). I further state that I submit the foregoing applications for the receiving the said Reports through ICICI Bank Limited (hereinafter referred to as the “Agent”)

 

I, on behalf of the Requesting Entity (hereinafter referred to as “us”, “our”, “my”, “we”), hereby confirm on, agree with and acknowledge to the following that:

 

  • The Agent shall be my lawfully appointed agent and he / it has agreed to be my agent for the purposes, including, without limitation, to receive the CCR along with CIBIL Rank from TUCL on our behalf and use it in the manner agreed between the Agent and TUCL and the Requesting Entity has granted its consent for the said purpose.
 
  • We grant our unconditional consent to the Agent to receive the Company Credit Information  from TUCL on our behalf and the Agent has granted its consent for being appointed for the aforesaid purpose. We hereby represent and acknowledge that the Terms of Understanding in relation to the use of the CCR along with CIBIL Rank, has been agreed between us and the Agent. 
 
  • We hereby expressly grant unconditional consent to, and direct, TUCL to deliver our CCR along with CIBIL Rank to the Agent on our behalf.
 
  • We shall not hold TUCL responsible or liable for any loss, claim, liability, or damage of any kind or nature resulting from, arising out of, or related in any way to the following:
 
  • the delivery of our CCR along with CIBIL Rank to the Agent;
 
  • any use, modification or disclosure by the Agent of the contents, in whole or in part, of our CCR along with CIBIL Rank, whether authorized or not
 
  • any breach of confidentiality or privacy in relation to delivery of our CCR along with CIBIL Rank to the Agent;
 
  • for any use made by the Agent which is contrary to what has been agreed between the Agent  and TUCL.
 
  • We accept and acknowledge that TUCL has not made any promises or representations to us in order to induce us to provide our CCR along with CIBIL Rank or seek any consent or authorization in this regard.

 

  • We agree that we may be required to record our consent / provide instructions electronically and in all such cases we understand that by clicking on the "I/We Accept" button below, we are providing "written consent" to TUCL and authorizing Agent to obtain our CCR along with CIBIL Rank from our credit profile available with TUCL.  Further in all such cases “By checking this box and clicking on the ‘Authorize button, we agree to the terms and conditions, acknowledge receipt of TUCL privacy policy and agree to its terms, and confirm that we are authorizing the Agent to obtain our  CCR along with CIBIL Rank.
 
  • We understand that in order to deliver the product to us, we hereby authorize the Agent, to obtain our CCR along with CIBIL Rank from TUCL.
 
  • We are aware that in case we wish to dispute any information on the TUCL CCR along with CIBIL Rank , we can contact TransUnion CIBIL directly by going to https://www.cibil.com/company-dispute-resolution or writing to TransUnion CIBIL at TransUnion CIBIL Limited, One World Centre, Tower 2A, 19th Floor, Senapati Bapat Marg, Elphinstone, Mumbai - 400 013
 
  • By submitting this application form and registering ourselves, we understand that we are providing express written consent and instructions to TUCL that the Agent shall have the right to request and receive our information including but not limited to a copy of our  CCR along with CIBIL Rank  from TUCL, , at any time for so long as we have an active account with the Agent. We further authorize the Agent to retain a copy of our information for use in accordance with Agent’s Terms of Use and Privacy Policy.
 
  • WE UNDERSTAND THAT THE PRODUCT IS PROVIDED ON AN “AS-IS”, “AS AVAILABLE” BASIS AND TUCL EXPRESSLY DISCLAIMS ALL WARRANTIES, INCLUDING THE WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.  
 
  • We shall not sue or otherwise make or present any demand or claim, and we irrevocably, unconditionally and entirely release, waive and forever discharge TUCL, its officers, directors, employees, agents, licensees, affiliates, successors and assigns, jointly and individually (hereinafter “Releasee”), from any and all manner of liabilities, claims, demands, losses, claims, suits, costs and expenses (including court costs and reasonable attorney fees) (“Losses”), whatsoever, in law or equity, whether known or unknown, which we ever had, now have, or in the future may have against the Releasee with respect to the submission of our  CCR along with CIBIL Rank and / or our decision to provide TUCL with the authority to deliver our  CCR along with CIBIL Rank to the Agent. We agree to defend, indemnify, and hold harmless the Releasee from and against any and all Losses resulting from claims made against TUCL by third parties arising from and in connection with this letter.
 
  • We agree that the terms of this confirmation letter shall be governed by the laws of India and shall be subject to the exclusive jurisdiction of the courts located in Mumbai in regard to any dispute arising hereof. TUCL is entitled to assign its rights hereunder to any third person without taking my prior written consent.
 
  • We confirm that the executants of this letter have the necessary power and authority to execute the same. The Requesting Entity shall be bound by the representations and confirmations provided herein and the same shall not be declared invalid/ void and / or rescinded by the Requesting Entity at any time in the  future. We are aware that TUCL shall rely on this representation without being required to undertake any independent verification of these powers.
